Terms and Conditions

1. General Provisions

These Terms and Conditions („Terms") govern the business relationship between the seller GFF, s.r.o., Jánošíkova 2773/4A,  915 01 Nové Mesto nad Váhom, Slovak Republic, Company ID: 50 405 845, VAT ID: SK2120312051 (hereinafter „Seller") and the buyer (hereinafter „Buyer") through the website Cooling.sk.

These Terms apply to all B2B orders, inquiries and commercial relationships conducted through Cooling.sk. By registering or placing an order, the Buyer agrees to these Terms in full.

2. B2B Registration and Account

• Access to wholesale prices and B2B ordering is available only to registered business entities (companies, sole traders).
• Registration requires valid company details (company name, Company ID, VAT ID) and contact information.
• Each registration is subject to approval by the Seller. The Seller reserves the right to reject a registration without stating reasons.
• The Buyer is responsible for keeping their account credentials confidential and for all activity under their account.
• The Seller may suspend or terminate an account that violates these Terms or is inactive for more than 12 months.

3. Products

The Seller offers certified refrigerants (including R134a, R404A, R410A, R407C, R32, R1234yf, R452A and others) in returnable cylinders for professional use.

• All refrigerants comply with EU Regulation No. 517/2014 on fluorinated greenhouse gases (F-gas Regulation).
• In accordance with applicable legislation, the sale of refrigerants is permitted only to holders of a valid F-gas certificate.
• Product images and descriptions on the website are for illustrative purposes. The Seller reserves the right to make minor changes to packaging and labelling.

4. Prices and Payment

• B2B prices are displayed to registered and approved customers in their account. Prices are exclusive of VAT unless stated otherwise.
• Public prices are available on request via the inquiry form.
• The Seller reserves the right to adjust prices based on market conditions. Confirmed orders are not affected by subsequent price changes.
• Unless otherwise agreed in writing, payment for the goods will be made by bank transfer or in cash upon delivery of the refrigerant. By agreement, the invoice is due 14 days from the date of issue.
• In case of late payment, the Seller may charge statutory interest on arrears in accordance with Slovak law.

5. Orders and Delivery

• An order is placed by submitting the order form in the B2B account or by sending an inquiry through the website.
• The order becomes binding upon confirmation by the Seller (via email or phone).
• Standard delivery time is 1–5 business days within Slovakia, depending on stock availability.
• Delivery is arranged by the Seller's logistics or a contracted carrier. Delivery costs are agreed upon order confirmation.
• The Buyer is obliged to inspect the goods upon receipt and report any visible damage or discrepancies immediately.

6. Returnable Cylinders

Refrigerants are supplied in returnable cylinders. Cylinders, returnable bottles for refrigerants are subject to a deposit of 40 euros excluding VAT / pc, and can be borrowed free of charge for a period of 6 months upon agreement.

The Buyer agrees to:

• Return empty cylinders within 180 days of delivery.
• Handle cylinders in accordance with safety regulations and manufacturer's guidelines.
• Bear the cost of lost, damaged or unreturned cylinders as invoiced by the Seller.

7. Complaints and Returns

• Complaints regarding product quality or quantity must be submitted in writing (email) within 5 business days of delivery. Detailed conditions are governed by the Complaint Procedure.
• The Seller will review the complaint within 14 days and propose a resolution (replacement, credit note, or refund).
• Returns of undamaged goods in original packaging may be accepted within 14 days of delivery, subject to the Seller's approval and a restocking fee of up to 15%.

8. Liability

The Seller is not liable for damages resulting from improper use, handling or storage of refrigerants by the Buyer. The Buyer acknowledges that refrigerants are hazardous substances and must be handled by qualified personnel only.

9. Personal Data Protection

The processing of personal data is governed by our Privacy Policy, which forms an integral part of these Terms. By accepting these Terms, the Buyer also acknowledges the Privacy Policy.

10. Final Provisions

• These Terms are governed by the laws of the Slovak Republic.
• Any disputes arising from these Terms shall be resolved by the competent court in the Slovak Republic.
• The Seller reserves the right to amend these Terms. Changes take effect upon publication on the website.
• If any provision of these Terms is found to be invalid, the remaining provisions remain in full force and effect.
